Overview

Eric A. Sauter is a partner at Vicente Sederberg LLP and member of the firm’s Corporate Department, where he concentrates on real estate finance, general real estate law and corporate matters. His real estate finance practice includes representing lenders, institutional investors, and borrowers across the country and handling real estate financing transactions involving all classes of commercial real estate. Eric’s transactions include all aspects of business banking (C&I), construction, bridge, mezzanine, and permanent mortgage loan originations, structuring, purchase and sales, and associated mortgage loan modifications, from application to closing. 

A decade-plus practitioner with over 10,000 hours experience closing loans, Eric prides himself on getting deals done and creating lasting relationships with clients. 

As part of his general real estate practice, Eric represents real estate investors, developers, landlords and tenants in real property financing, leasing and subleasing in all asset classes. He also represents clients in sale/leaseback transactions, master leases and ground leases. 

Eric’s corporate law experience includes representing clients on general corporate law—including company formation and operating agreements. Eric also has experience issuing legal opinions, including non-consolidation opinions and state law enforceability opinions.

Eric holds a Bachelor of Arts from the University of Michigan and a law degree from St. John’s University School of Law. He is admitted to practice in New York and is pending licensure in Connecticut and New Jersey. 

Experience

Real Estate Financing & Business Banking 

  • Roughly 25-35 single and multi-property loans closed each year 2014-2021 (fixed and variable rate loans from $2MM to $50MM, each) – from origination through post-closing – representing CMBS, portfolio, and traditional banking lenders nationwide, secured by self-storage, warehouse, hotel, multi-family, mixed-use, retail, mobile home park, and office facilities. 

  • Roughly 20 business banking loans closed each year as of 2020 (fixed and variable rate loans from $750M to $10MM, each) – from origination through post-closing – representing regional and national banks, secured by commercial real estate and asset pledges.

  • Represented a borrower with respect to $210M senior and mezzanine financing of luxury water-front multi-family complex in Brooklyn, New York in 2019.

  • Represented a commercial shopping center owner in connection with multi-million dollar bond refinancing, including preparation and negotiation of tenant lease estoppels, SNDAs, and vendor contract negotiations and renewals in 2012.

  • Represented Section 8 Property Owners in connection with multi-million dollar bond refinancing, including preparation and negotiation of tenant lease estoppels, SNDAs, and vendor contract negotiations and renewals in 2012.

Construction Financing

  • Represented a New York regional bank with respect to a $13MM construction loan and $1.3MM term loan secured by premier Westchester County, New York golf course in 2020.

  • Represented a New York regional bank with respect to a $5.5MM construction loan secured by an animal shelter and hospital in 2020.

  • Represented a New York regional bank with respect to two construction loans closed simultaneously totaling $3.785MM to affiliate developers, covering luxury multi-family apartment facilities in Long Island City, New York in 2021.

  • Represented a New York regional bank with respect to a $4.5MM construction loan covering teardown and construction of luxury homes in Amagansett, New York in 2021.

  • Represented a joint venture equity group in connection with a $2.8MM construction loan for a private Long Island City development project in 2013. Involved in drafting mortgage and security agreement, construction agreement, operating agreement, and security documents.

Not-for-Profit Financing

  • Represented a regional bank with respect to a $20MM commercial loan to Manhattanville College, secured by mortgage again college campus and asset pledges in 2020.

  • Represented a regional bank with respect to refinancing $10MM advised line of credit and $8MM mortgage loan to Children’s Village, including negotiating and documenting the transfer of accounts perfecting the bank’s security interest in 2021.

Commercial Leasing

  • Represented a regional OTB in connection with use of gaming space at Long Island hotel-casino from 2016-2019. Responsible for negotiation and drafting of lease and development and maintenance agreement.

  • Represented a commercial shopping center in connection with negotiating and drafting lease and vendor agreements from 2009-2013. 

  • Negotiated, drafted, and extended vendor and special event contracts on behalf of major luxury brand conglomerate and affiliated retail stores and outlets from 2008-2009. 

Real Estate Development and Dispositions

  • Represented a New York residential developer in connection with conversion and sale of condominium units in DUMBO neighborhood of Brooklyn, New York in 2013. 

  • Represented a New York residential developer in connection with application and approval of HOA offering plan, construction permit, and sale of HOA units in Patterson, New York from 2009-2013.
